Terms of Service
These terms govern your access to Numaus’s website, waitlist, and services. Please read them carefully before using Numaus.
1. Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you and Numaus (“Numaus,” “we,” “us,” or “our”). By accessing our website, joining the waitlist, or using any Numaus product or service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Numaus.
If you use Numaus on behalf of a household or organization, you represent that you have authority to bind that household or organization to these Terms.
2. Early access and the waitlist
Numaus may be offered on a waitlist, beta, or early-access basis. Features, availability, and pricing may change without notice. We do not guarantee that you will receive access, or access at any particular time.
Joining the waitlist does not create a contract for services beyond what we expressly offer. We may invite users in any order and may decline or revoke access at our discretion, subject to applicable law.
Communications about the waitlist (including launch updates) are not a promise that the product will include any specific feature described on our marketing pages or previews.
3. Not medical, legal, or professional advice
Numaus is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. Information and actions facilitated through Numaus — including scheduling, reminders, or research — are for administrative and logistical support only. Always consult qualified professionals (such as your pediatrician, OB-GYN, lactation consultant, therapist, or attorney) for medical, mental health, legal, insurance, or financial decisions.
In an emergency, call your local emergency number or seek immediate medical care. Do not rely on Numaus for emergency response.
4. The service
Numaus is an agent-style product intended to help families with tasks such as coordinating care, tracking deadlines, handling paperwork, and delegating logistics. Numaus may use automated tools, including artificial intelligence, to research options, draft communications, fill forms, or suggest next steps.
You stay in control. Unless you explicitly authorize otherwise, important decisions — including medical care, financial commitments, and legal agreements — remain yours. Numaus is designed to surface options and complete tasks you approve, not to replace your judgment.
We strive for accuracy but do not guarantee that information Numaus provides (such as provider availability, insurance coverage, or deadlines) is complete, current, or error-free. You are responsible for reviewing outcomes before relying on them.
5. Eligibility and accounts
You must be at least 18 years old (or the age of majority where you live) to join the waitlist or use Numaus. You agree to provide accurate information and to keep your account credentials confidential if an account is issued to you.
You are responsible for all activity under your account. Notify us promptly at hello@numaus.app if you believe your account has been compromised.
6. Acceptable use
You agree not to:
- Use Numaus for any unlawful purpose or in violation of these Terms;
- Submit false, misleading, or impersonated information;
- Attempt to access systems, data, or accounts you are not authorized to access;
- Interfere with or disrupt Numaus (including scraping, reverse engineering, or automated abuse), except as permitted by law;
- Use Numaus to harass, harm, or endanger others; or
- Resell or commercially exploit Numaus without our written permission.
We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to Numaus or other users.
7. Intellectual property
Numaus and its content — including software, design, text, graphics, logos, and trademarks — are owned by Numaus or our licensors and are protected by intellectual property laws. Except as expressly allowed in these Terms, you may not copy, modify, distribute, or create derivative works from Numaus without our prior written consent.
You retain ownership of content you submit to Numaus. You grant us a limited license to use, store, and process that content solely to operate and improve the service for you and your household.
8. Third-party services
Numaus may interact with third parties — such as healthcare providers, insurers, daycares, government agencies, or payment processors — at your direction. We are not responsible for third-party services, sites, or policies. Your dealings with third parties are between you and them.
9. Fees and payment
Waitlist registration is currently free. If we offer paid plans in the future, we will present pricing and billing terms before you are charged. Unless otherwise stated, fees are non-refundable except where required by law.
10. Disclaimers
CRADLE AND OUR WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CRADLE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR OUTCOME (SUCH AS A BOOKING, REIMBURSEMENT, OR WAITLIST PLACEMENT) WILL BE ACHIEVED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRADLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE CRADLE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR CRADLE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Numaus and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of Numaus, your violation of these Terms, or your violation of any rights of another person or entity.
13. Dispute resolution and governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your home jurisdiction apply.
Any dispute arising from these Terms or Numaus that cannot be resolved informally will be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts, except where prohibited by law.
If you are a consumer in a jurisdiction that grants you mandatory rights to bring claims in your local courts, those rights are not waived where they cannot be waived by agreement.
14. Changes to these terms
We may modify these Terms at any time. We will post the updated Terms on this page and update the “Last updated” date. If changes are material, we will provide reasonable notice (for example, by email or in-product notice) where required. Continued use after the effective date constitutes acceptance of the revised Terms, except where your consent is required.
